The American Heart Association has an excellent opportunity for a Sr. Legal Counsel in our National Center Office located in Dallas, TX!
This position will work in a hybrid setting (in office approximately 1-2 days a week and as needed) in our Dallas, TX. office.

Responsibilities:
Under the direction of the VP, the Deputy General Counsel functions as primary legal support to the Association's core fundraising and revenue development activities and handles a high volume of typically brief matters as well as a moderate load of domestic (US) corporate sponsorship agreements, grants, and intellectual property license agreements. Legal matters span all public charity fundraising issues, from trademark rights to participation waivers from minors to contests and social media events. Also included are negotiating property licenses with existing and newly built American Heart Association programs. Must shift quickly between substantive issues and work with various personalities under time constraints.
* Use legal knowledge of non-profit laws and regulations necessary to handle sponsorship agreements, grants, intellectual property, licensing, and data privacy issues. Deliver general legal support across the U.S. to field, youth, community, and national revenue development programs by providing contract negotiation and review, regulatory guidance, compliance consulting, and strategic solutions in a fast-paced environment with a high volume of work
* Negotiate talent and influencer agreements, particularly those applicable to social media use, streaming, and online gaming.
* Understand advertising and gaming laws related to promotions such as raffles, sweepstakes, and contests and able to create corresponding rules for such promotions in most US jurisdictions
* Collaborate with departments to solve processes and templates
* Review vendor agreements related to the work described above
Qualifications:
* Professional License/specialized training
* Eight (8) years of experience
* Work collaboratively with other attorneys and a full range of staff from across the Association
* Ability to pivot quickly from one substantive area to another
* Excellent contract drafting and reviewing skills
* Ability to digest complex material into easily consumed content for non-legal staff
* Well-organized and attentive to details, including administrative tasks
* Experience working with IRS rules applicable to public charities, including incidental private benefit, qualified corporate sponsorships, implied endorsement, etc
* Experience with data privacy issues specific to fundraising, general donor relationships, and data subject accountability
* Ability to travel 5% local and overnight stay
Preferred Skills:
* Familiarity with commercial co-venture and charitable solicitation registration requirements
* Experience supervising non-lawyers, law students, and junior lawyers
* Experience with corporate employment/HR laws
* Experience with business structures and "corporate veil" issues among related entities
* Experience with property right licensing agreements
* Experience with legal issues arising from corporate use of social media and user-created content in social media platforms
* Solid understanding of trademark and copyright law
