Our legal teams support the innovators driving the growth and success of EchoStar and its subsidiaries. From identifying and supporting a variety of corporate legal matters to negotiating the industry's evolving legal landscape, our corporate counselors bring their own kind of invention to effect positive change across the company.
Responsibilities:
Key Responsibilities:
* Securities: Handle Section 16 reporting requirements for company insiders and Nasdaq notifications; assist in the preparation and filing of periodic reports (Forms 10-K, 10-Q and 8-K) and proxy statements with the SEC; assist with insider trading compliance
* Corporate Governance: Manage corporate governance matters, including maintaining corporate records, drafting board and committee minutes, resolutions and written consents and other meeting materials, and preparing and reviewing directors & officers questionnaires and annual board and committee evaluations
* Legal Entity Management: Prepare minutes, resolutions, written consents and corporate filings; maintain corporate record books and assist with other corporate actions; handle state corporate filings, support legal entity consolidation and expansion projects
* Administrative: Provide general administrative support to the team as needed, while interacting cross-functionally with other departments
* Special Projects: Support special projects and perform any additional responsibilities as requested or assigned particularly with respect to debt compliance certificates and analysis of peer disclosures and trends
* Perform other work-related duties as assigned
Qualifications:
Education and Experience:
* Bachelor's degree in a related field or equivalent experience preferred
* Paralegal certificate from an A.B.A. paralegal program is a plus
* Minimum of 5 years of paralegal experience with a focus on securities and corporate governance matters as a corporate paralegal in law firm or in-house legal department required
Skills and Qualifications:
* Understanding of SEC rules and regulations, Nasdaq listing standards and corporate governance principles
* Proficiency in document management matters
* Excellent written and verbal communication skills
* Highly organized with excellent attention to detail, including accurate preparation of documents
* Ability to work independently in a fast-paced environment, manage multiple tasks and meet deadlines
* Effective analytical, problem-solving and decision-making skills
* Collaborative, with good interpersonal skills
* Ability to work under pressure on urgent and sensitive matters
* Ability to handle confidential information with the utmost discretion
* Intermediate to advanced knowledge of software applications, including Microsoft Outlook, Word, Excel, PowerPoint, iManage and other web-based applications
