Responsibilities:
The Director of Global Entity Strategy & Governance is a strategic legal leader responsible for overseeing the formation, structuring, and ongoing governance of the company's global legal entities. This role is critical to supporting global business expansion, ensuring cross-border compliance, and maintaining a scalable and risk-aligned entity framework. Working closely with Legal, Growth, Finance, and Tax, this role ensures that every legal entity supports long-term strategic and regulatory goals. In addition to global legal entity governance and strategic expansion, this role oversees the company's engagement with U.S. regulatory programs, particularly those administered by the Small Business Administration (SBA). The Director ensures that entity structures and operations remain compliant with federal eligibility standards, supports SBA processes, and maintains good standing in programs such as 8(a), HUBZone, or SBIR/STTR, where applicable.

Qualifications:
Essential Duties & Job Functions:
* Lead for the development and implementation of global entity management strategies to ensure compliance with local fiduciary, regulatory, and statutory requirements across multiple jurisdictions.
* Advise Growth team regarding optimal entity structure for strategic partnerships.
* Evaluate local legal requirements in new markets, including ownership rules, licensing, labor regulations, and capital requirements.
* Coordinate with Chief Legal Officer to manage jurisdiction-specific filings, timelines, and compliance.
* Draft and maintain corporate governance documents: operating agreements, mentor-protégé agreements.
* Collaborate with internal and external legal teams, consultants and service providers on complex cross-border structuring issues, including entity rationalization, intercompany agreements, and restructuring.
* Drive continuous improvement initiatives in governance processes and entity management practices to support scalable international growth.
* Anticipate and mitigate legal risks related to entity setup and operation (e.g., permanent establishment, regulatory exposure).
* Partner with Compliance, HR, Tax, and other departments to ensure new legal entities are operationally and legally ready.
* Serve as the point of contact for entity-related matters in M&A, joint ventures, or financing activities.
* Monitor changes to SBA regulations and translate those into strategic or structural adjustments.
* Prepare comments on proposed regulations affecting corporate entity strategy.
* Partner with Federal Contracts, Compliance, and Finance teams to advise on structuring impacts related to SBA and other U.S. regulatory programs.
* Support small business subcontracting plans in partnership with federal prime contractors.
* Act as the primary legal liaison for all SBA-related programs, ensuring compliance with size standards, ownership/control rules, and documentation requirements.
