				Overview:

As our Corporate Paralegal, you have passion for corporate governance, securities law compliance and a love for fast-paced environments. You will be an important partner in supporting our corporate governance, SEC compliance, entity management, M&A, equity plan operations and public company readiness. You will report to the Associate General Counsel, Corporate. This is a remote position within the United States (with a preference for East Coast location). Responsibilities:

* You will coordinate Board of Directors and committee meetings, including calendaring, preparing agendas, resolutions, minutes and driving related processes.

* You will organize and maintain corporate records, governance documents and policies including corporate calendar.

* You will prepare and review D&O questionnaires.
* You will support related party transactions and insider trading compliance processes.
* You will supported related party transactions and insider trading compliance processes.

* You will support SEC compliance, including preparing Section 16 reports and assisting with 10-ks, 10-Qs, 8-Ks and proxy statements. 
* You will support global entity management, including board and officer composition, annual filings, formations and dissolutions.
* You will maintain compliance calendars and ensure all key deadlines are met
* You will collaborate with the Legal and Equity teams to support stock plan administration, including approval and tracking of equity awards.

* You will collaborate cross functionally with the Finance, Accounting and People teams to support legal and compliance matters.
* You will contribute to special projects including M&A support

Qualifications:

* 5+ years of paralegal experience, with at least two years of public company corporate governance or securities experience working in house at a public company or law firm.

* You have a Bachelor's Degree and a paralegal certificate (or equivalent experience) required
* You have a strong understanding of corporate governance, SEC compliance, subsidary management and equity-related processes

* You have experience with equity administration platforms and legal entity managment tools. 

* Excellent organization skills and keen attention to detail
* Familiarity with governance tools like Diligent, Workiva, or Carta is a bonus

Pay Range Details

The base pay range(s) below are provided in compliance with state specific laws. Pay ranges may be
different in other locations.

Colorado $85,500-$136,700
Washington $85,500-151,100
California $85,500-$165,400
NYC $103,400-$165,400

The pay range above is the general base pay range for a successful candidate in the state listed. The
successful candidate's actual salary/wage may be based on various factors, such as geographic
location, candidate experience and qualifications, as well as market and business considerations.
This role is eligible for an annual bonus based on individual and company performance, depending on
the terms of the applicable plan and the employee's role.
