				Overview:

The Associate General Counsel, APAC at JBT Marel Corporation (JBTM) will play a critical role in providing comprehensive legal support for commercial businesses in the organization, with the main focus on advising regional management. This position involves advising on a wide range of legal matters, including litigation, commercial disputes, compliance, mergers and acquisitions, labor and employment issues, intellectual property protection, and commercial contracting advice. The role requires working closely with business leaders within the region to calculate and manage risks within business functions and processes.

Responsibilities:

Key Responsibilities 

* Draft, review, and negotiate a variety of commercial contracts and agreements, including NDAs, commercial sales and leasing agreements, and joint development and licensing agreements.
* Provide guidance and training to develop and support embedded business operations contract manager's review of commercial contracts
* Collaborate with the compliance team to develop and implement policies and procedures that promote a culture of compliance and ethical conduct.
* Conduct legal research and stay informed about changes in laws and regulations that may impact JBTM's business in the region, including identifying opportunities to enhance the company's position and value.
* Provide training and guidance to internal teams on legal and regulatory issues.
* Assist in the structuring, negotiation, and execution of mergers, acquisitions, joint ventures, and other strategic transactions.
* Provide legal counseling and guidance to JBTM's commercial business operations in the Asia Pacific Region.
* Manage litigation, claims and dispute resolution activities within the region, regulatory compliance, labor and employment matters, tax and other legal and compliance work as required, in close cooperation with relevant functions, as may be applicable
* Retain and manage external counsel when utilized to supplement internal legal support, including review and approval of cost projections and legal bills.

Experience:

* A minimum of 10 years of legal experience
* Experience within a corporate in-house legal department required
* Significant experience providing legal advice and support to companies with global business manufacturing or assembly operations will be a strong advantage
* Experience with labor and employment litigation a plus
* Experience advising in an international context
* Experience managing commercial litigation and implementing global legal compliance initiatives desired; experience with complex commercial transactions also desired

Education:
J.D. (or its local equivalent) from an accredited law school and admitted to practice law in a country in which JBTM has a principal operation. 

Knowledge and Skills 

* An interest in learning and understanding the implications of commercial business objectives on legal issues of supported businesses 
* Strong problem solver with an ability to think "outside of the box" to develop creative solutions to problems

* Able to present complex ideas and concepts, either written or verbal, in an easy-to-understand and concise manner tailored appropriately to varying audiences in a global business
* Consummate team player with demonstrated sensitivity and receptivity to the viewpoints of others and an ability to collaborate with others to solve problems
* Sense of urgency to accomplish objectives in time frames necessary to support business objectives
* Proactive (rather than reactive) in both thought and action; a self-starter
* Must have excellent judgment, client counseling, multitasking, and decision-making skills
* Practical, hands-on, collaborative approach to resolving issues. Appreciates the business strategy and operational needs of the company when providing legal advice.
* Strong project management skills
