Responsibilities:

What You'll Do:

* The Assistant General Counsel, Government Contracts, will play a crucial role in managing the contractual legal affairs of the organization. Reporting to the Senior Vice President, Deputy General Counsel, this role mitigates legal risks while providing strategic legal advice and support to our business throughout the world on all facets of government contracting (both domestic and international), as well as related compliance and regulatory issues.
* The primary responsibilities of this position are to: contribute value as a member of the Legal Department; provide effective legal advice, counsel and advocacy to V2X's business and functional areas; support V2X's strategic and tactical legal and compliance initiatives; and provide effective advice on legal considerations of V2X's business strategies and their implementation.
* The person chosen for this position will be required to provide daily advice and counsel on issues involving government contracts, general business, and domestic and international business transactions. The successful candidate must have the ability to identify critical legal issues, appropriately balance risk and business strategy, and convert legal recommendations to actionable advice for program and other personnel. He or she must be able to develop relationships with and influence internal and external stakeholders and will need to collaborate with peers and colleagues. The Assistant General Counsel must be nimble, advising on strategy at the highest level while also diving into the weeds, directly handling legal work when necessary. Your expertise in government contracts, contract drafting and negotiation, teaming agreements and licensing, and government contracts compliance will be instrumental to your success in this role.

Key Responsibilities:

* Serves as a lead strategic advisor for the Company's diverse business operations. Provides strategic legal counsel on complex regulatory and compliance matters, including government and commercial procurement.
* Supports and advises on all types of U.S. government, international, and commerical contractual topics such as:
* Bid and proposal advice,
* Contract changes (requests for equitable adjustments),
* Contract compliance with Federal Acquisition Regulations (FAR) and Defense Federal Acquisition Regulations Supplement (DFARS),
* Government contract litigation protests and disputes,
* Subcontract negotiations,
* Teaming agreements,
* Organizational conflict of interest issues,
* Other Transaction Agreements (OTAs),
* Creation and implementation of firewall agreements, and
* Other business matters including program execution and performance.

* Works cross-functionally to identify and mitigate potential exposure and areas of liability or vulnerability, including conducting legal investigations relating to government contracts and resolving internal and external claims.
* Advise the company on best ways to operate in an international environment, including on local labor and registration requirements
* Drafts and/or reviews the negotiation of business contracts, leases, and consulting agreements.
* Supports the organization in providing legal advisement, business risk analysis, and communications with regulatory bodies, as required.
* Contributes to the design of Company practices, policies, and oversight efforts in contract compliance. Implements standards for effective legal and contract strategy.
* Interprets and disseminates information on proposed or actual legislation and regulations, with emphasis on government contract law. Monitors industry regulations and trends to mitigate risks of litigation, and to identify opportunities for commercial differentiation.
* Manages litigation, legal claims, and disputes to protect the Company's interests and achieve cost-effective resolutions.
* Represents V2X in litigation and legal and quasi-judicial proceedings. Acts as an agent of organization in various transactions.
* Selects, evaluates, and manages relationships with outside legal counsel and expert advisors as needed, ensuring alignment with the Company's goals and budgetary constraints.
* Promotes and ensures ethical business practices and a customer (internal and external) oriented philosophy.
* Provides legal training to business leaders and professionals on government contracts topics.
* Performs other duties and assignments as required.

Qualifications:

Minimum Qualifications:

* Education:
* Juris Doctor (J.D.) degree from an accredited law school.
* Member in good standing with a state bar association.

* Experience:
* Minimum of fifteen (15) years' of legal experience, with a preference for candidates who have gained experience in law firm and in-house roles with a practice area emphasis in government contracts.
* Broad legal experience with contracts and commercial and corporate transactions, as well as demonstrated familiarity with the FAR and DFARS.
* Proven experience with federal regulations, government contracts, commercial contracts, counseling and advice, litigation, corporate transactions, compliance programs, and international law.
* Experience with international operations, including how to do business in different foreign jurisdictions

* Other Requirements:
* United States citizenship.
* Must have or be able to obtain and maintain a U.S. Security Clearance at the appropriate level.
* Domestic and international travel may be required.
* May work extended hours.
* Ability to access and perform work on U.S. military installations may be necessary.

* Proven track record of successfully identifying and analyzing legal issues, drafting key documents, presenting clear recommendations, and ensuring legal compliance, risk mitigation, and implementation.
* Demonstrated experience leading and/or advising on compliance issues including the development of policies/procedures, investigations, and provision of guidance and direction to senior management regarding legal compliance and regulatory obligations.
* Can approach legal issues from a business perspective, offering timely advice on emerging matters through a deep understanding of both the business and the broader impact of legal decisions on organizational success.
